These Terms and Conditions (“Terms”) govern the Friendship & Flow radio and podcast show produced by Friendship and Flow Show ("Friendship & Flow"). Friendship & Flow airs on WLIT 106 (Lit 106) and is distributed on YouTube and major podcast platforms. By listening, submitting material, participating in promotions, or engaging with the show in any way, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not submit content or participate in show activities.

1. Definitions

  • “We”, “Us”, “Our” refers to the Friendship & Flow program produced by Friendship and Flow Show.

  • “Friendship & Flow” / “Show” refers to the radio and podcast program airing on WLIT 106 (Lit 106) and distributed on YouTube and podcast platforms.

  • “Host” refers to the on-air presenter(s) and producers of the Show.

  • “You”, “Listener”, “User”, “Submitter” refers to any person interacting with the Show, including those who listen, view, comment, or submit content.

2. Eligibility to Use Services

By participating in the Show—including submitting audio, video, or written materials, entering contests, or booking paid segments—you confirm that:

  • You are at least 18 years old (or have parental/guardian consent where required).

  • You have the legal right and authority to submit the content you provide.

  • The information and materials you provide are accurate, original, and do not infringe third-party rights.

3. Scope of Services

Friendship & Flow produces, broadcasts, and distributes audio and video episodes. Our services include live radio broadcasts on WLIT 106 (Lit 106), podcast distribution to major platforms, and video content on YouTube. We may also create short clips, highlights, and promotional materials from episodes.

  • Live radio broadcasting on WLIT 106 (Lit 106).

  • Podcast hosting and distribution on major podcast platforms.

  • Video publishing on our YouTube channel and related platforms.

  • Promotional clips, social media posts, and archival episode hosting.

Any service or distribution not explicitly described above is not included unless we agree to it in writing.

4. Service Process & Communication

  • All official communication regarding submissions, bookings, and sponsorships will occur through our published channels (email, official website contact form, or producer contact).

  • Submission guidelines, file formats, and deadlines must be followed to be considered for broadcast.

  • We will contact submitters if additional clearances, releases, or edits are required before airing.

We are not responsible for delays in production or broadcast caused by technical failures, late or incomplete submissions, or third-party platform outages.

5. Pricing and Payments

  • When applicable (for sponsorships, paid promotional segments, or ticketed events), prices and payment terms will be communicated and agreed upon in writing before services begin.

  • Sponsorships and paid segments require a signed agreement outlining deliverables, airtime, and fees.

  • Payment methods and schedules will be specified in the agreement.

Failure to meet agreed payment terms may result in suspension or cancellation of promotional services and related deliverables.

  • Suspension of scheduled promotional segments or sponsorships.

  • Cancellation of unpaid services.

  • Withholding of final deliverables (e.g., edited spots, master files) until payment is received.

6. Late Payments

If payment is delayed, we may pause promotional activity, reschedule airtime, or apply additional fees as agreed in the contract.

  • Services may be paused without prior broadcast until payment is resolved.

  • Additional charges or late fees may apply where specified in the agreement.

  • Final deliverables may be withheld until payment clears.

7. Refund Policy

Refunds are not guaranteed. Where refunds are considered (for paid services), they will only be granted under limited circumstances and per a written agreement.

  • Refunds may be issued if we fail to deliver the agreed airtime or sponsorship deliverables and no acceptable replacement is provided.

  • Refunds require a written request and assessment by our production team.

Refunds will not be provided for listener donations, completed broadcasts that were aired per agreement, or delays caused by the submitter or third-party platforms.

  • Completed work that was aired as agreed.

  • Work approved by the sponsor or submitter.

  • Delays or issues caused by the submitter (e.g., late files, missing clearances).

8. Revisions and Modifications

  • Revisions of produced segments are limited to the scope and number specified in the agreement.

  • Additional edits or major format changes may incur extra charges.

  • Significant reworks of content may be treated as a new project and billed accordingly.

9. Intellectual Property Rights

  • All original Show branding, produced episodes, and materials created by us remain our property unless otherwise agreed in writing.

  • By submitting content to the Show, you grant us a non-exclusive, worldwide, royalty-free license to use, edit, broadcast, reproduce, and distribute your submission across our platforms.

  • Where ownership or exclusive rights are required, rights may be transferred only after full payment and a written agreement specifying terms.

10. Client Content and Legal Responsibility

Any content you submit (audio, video, images, text) is your responsibility. You confirm that you own the rights or have obtained all necessary permissions, releases, and licenses for any third-party content included. You agree to indemnify us against any claims arising from your submissions, including copyright or privacy claims.

11. Confidentiality and Data Protection

We respect confidentiality and strive to protect personal data shared with us. We will not disclose confidential information except where required by law or to fulfill production and distribution obligations (for example, to platform partners). Please do not send sensitive personal information unless requested and agreed in writing.

12. SMS Communications

By providing your mobile phone number to Friendship & Flow, you consent to receive recurring SMS text messages from Friendship & Flow and its representatives for purposes including, but not limited to:

Show updates and announcements

Event reminders and ticket notifications

Promotional messages

Marketing communications

Customer support responses

Listener engagement and community updates

Message Frequency

Message frequency may vary depending on user interaction and promotional activity.

Message and data rates may apply. Charges depend on your mobile carrier plan.

Opt-Out Instructions

You may opt out of SMS communications at any time by replying:

After you send STOP, you will receive one confirmation message and will no longer receive SMS messages from us unless you re-subscribe.

Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages.

13. Use of Third-Party Services

We rely on third-party platforms and services for hosting, streaming, distribution, and payment processing. While we select reputable partners, we are not responsible for outages, policy changes, data loss, or other issues caused by those third parties.

14. SMS & Mobile Communications

When you voluntarily provide your mobile phone number through our website, event forms, ticket registrations, or other opt-in methods, you are consenting to receive SMS communications from Friendship & Flow.

We collect mobile numbers solely for:

Event information

Marketing communications

Listener engagement

Customer support

Your mobile number will not be used for unrelated third-party marketing purposes.

You may opt out at any time by replying STOP to any message received.

15. Mobile Information Sharing Statement

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

16. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or reputational harm. Our total liability for any claim related to a paid service will be limited to the amount you paid for that specific service.

17. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your submissions, breach of these Terms, misuse of the Show, or violation of law. This obligation survives termination of services.

18. Suspension and Termination of Services

We reserve the right to suspend or terminate services, remove content, or refuse participation if you violate these Terms, fail to make required payments, engage in abusive or illegal behavior, or submit content that we reasonably deem inappropriate. In such cases, refunds may not be provided for work already completed or airtime already delivered.

19. Force Majeure

We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, technical outages, strikes, governmental actions, pandemics, or other force majeure events. Such events do not constitute a breach of these Terms.

20. Governing Law and Jurisdiction

These Terms are governed by applicable local laws. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the appropriate courts in the applicable jurisdiction.

21. Changes to Terms and Conditions

We may update or modify these Terms from time to time. Changes will be effective when posted on our website. Continued use of Friendship & Flow after changes are posted constitutes acceptance of the updated Terms.

22. Entire Agreement

These Terms constitute the entire agreement between you and Friendship and Flow Show regarding your participation in Friendship & Flow and supersede prior oral or written communications related to the Show.

Eligibility to Use Services

Age Requirement: By using the Services, you represent and warrant that you are at least eighteen (18) years of age. Individuals under eighteen (18) years of age are not permitted to use the Services; any account or submission made by a minor is void, and we reserve the right to suspend or terminate access and remove content provided by persons under the age of eighteen (18).
